Terms and Conditions
Your agreement with WYLE for use of the platform and Buddy AI agent
Please read these Terms carefully before using WYLE. By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, do not use WYLE.
1Parties and Agreement
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and WYLE Technologies FZ LLC, a free zone entity licensed under the Ras Al Khaimah Economic Zone (RAKEZ), UAE ("WYLE", "we", "us", or "our"). WYLE Technologies FZ LLC is a wholly owned subsidiary of WYLE Global Corporation Incorporated, incorporated under RAK International Corporate Centre (RAK ICC), UAE.
These Terms govern your access to and use of the WYLE platform, the Buddy AI agent, and all related applications, features, and services (collectively, the "Service") accessible via wyle.ai and our mobile and desktop applications.
These Terms are governed by and construed in accordance with the laws of the UAE, including applicable RAK ICC and RAKEZ free zone regulations.
2Eligibility
- You must be at least 18 years of age to use WYLE.
- You must have the legal capacity to enter into a binding contract under UAE law.
- If you are accessing WYLE on behalf of a company or organisation, you warrant that you have authority to bind that entity to these Terms.
- WYLE is currently available to users in the UAE. Access from other jurisdictions is at the user's own risk and subject to local law compliance.
3Account Registration
- You must create an account to use WYLE, using your Google, Apple, or Microsoft identity. WYLE never stores your password.
- You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
- You agree to provide accurate, current, and complete information during registration and to update it as necessary.
- You must notify WYLE immediately at support@wyle.ai if you suspect unauthorised access to your account.
- You are responsible for safeguarding your 12-word BIP39 recovery phrase. WYLE cannot recover your data if this phrase is lost.
4Trial Access
- WYLE offers a trial period (duration communicated at sign-up) providing full, ungated access to all WYLE features.
- No credit card is required to start the trial.
- During the trial, you have access to the complete feature set including Buddy Chat, Morning and Evening Briefs, Obligation Intelligence, vendor coordination, and all AI automation features.
- At the end of the trial period, the Service will become read-only. Your data is preserved. Buddy will cease active monitoring and execution until a valid subscription is activated.
- If no subscription is activated within 7 days of trial expiry, your encrypted data will be deleted from our servers. After 30 days, deletion is permanent and irrecoverable.
- Re-activation after trial expiry is immediate upon payment. All Buddy memory, obligations, and settings are fully restored if within the grace window.
5Subscription and Payment
- Subscription pricing and terms are communicated during onboarding and available from the WYLE team. Contact info@wyle.ai for details.
- Subscriptions are billed monthly on a recurring basis from the date of first payment.
- Payments are processed by our authorised payment processor. WYLE does not store payment card details.
- All fees are inclusive of applicable UAE VAT where required by law.
- Your subscription will automatically renew each month unless cancelled before the renewal date.
- You may cancel your subscription at any time through your account settings or by contacting support@wyle.ai. Cancellation takes effect at the end of the current billing period.
- WYLE reserves the right to suspend or terminate your subscription for non-payment after reasonable notice.
5.1Refund Policy
WYLE operates a fair and transparent refund policy:
- Trial period: no charges apply during the free trial. No refund is necessary.
- First-month satisfaction guarantee: if you are not satisfied with WYLE within the first 30 days of your first paid subscription, contact support@wyle.ai and we will issue a full refund of your first month's fee, no questions asked.
- Subsequent months: subscription fees are non-refundable for partial billing periods once a monthly cycle has commenced, except where required by UAE Federal Law No. 15 of 2020 on Consumer Protection or other applicable UAE law.
- Service outages: if WYLE experiences a verified outage of more than 48 continuous hours within a billing period, affected subscribers will receive a pro-rata credit applied to the following billing cycle.
- Disputed charges: to dispute a charge, contact support@wyle.ai within 30 days of the charge date. We will investigate and respond within 10 business days.
- Cancellation refunds: cancelling your subscription mid-cycle does not entitle you to a refund of the current period's fee. Access continues until the end of the paid period.
6The Buddy AI Agent: Scope and Limitations
6.1What Buddy Does
Buddy is an AI agent that assists you in managing your personal and professional life. Buddy can:
- Monitor your email and calendar for obligations, deadlines, and actionable information.
- Track life obligations including government documents, insurance, financial commitments, and household contracts.
- Execute tasks on your behalf such as placing orders, sending WhatsApp messages to vendors, and booking services, subject to your approval and the Certainty Score threshold.
- Provide daily Morning Briefs, Evening Recaps, and proactive nudges.
- Act as a general-purpose AI assistant for advice, planning, and information.
6.2Limitations and Disclaimers
Buddy is an AI assistant. Buddy's outputs are informational and should not be treated as legal, financial, medical, or professional advice. Always verify critical information independently.
- Buddy's actions are limited by its Certainty Score. Actions below the threshold require your explicit approval before execution.
- Buddy operates via automation and AI and may make errors. You are responsible for reviewing and approving Buddy's actions before execution.
- WYLE does not guarantee that Buddy will detect every obligation, catch every deadline, or execute every task successfully.
- WYLE automates interactions with third-party platforms via headless browser automation. WYLE is not responsible for the performance, availability, or policies of those third-party platforms.
- WYLE does not integrate directly with banking systems. Buddy provides reminders and awareness only. You remain solely responsible for all financial transactions.
6.3Third-Party Platform Automation
Where Buddy automates interactions with third-party platforms:
- WYLE uses automation techniques that interact with third-party platforms as a user would. Some platforms may update, restrict, or block automated access at any time. WYLE cannot guarantee continuous compatibility with any third-party platform.
- If a third-party platform suspends or restricts access due to automated usage, WYLE will endeavour to restore functionality but is not liable for any disruption or resulting inability to complete tasks.
- You are responsible for ensuring your use of third-party platforms via Buddy complies with those platforms' terms of service.
- WYLE is not affiliated with, endorsed by, or in partnership with any third-party platform unless expressly stated.
6.4Beta Features
WYLE may from time to time make new or experimental features available in beta form. Beta features are clearly labelled within the application.
- Beta features are provided on an "as-is" basis without warranty or SLA. They may be incomplete, unstable, or subject to significant change.
- WYLE may discontinue, modify, or graduate any beta feature to general availability without notice.
- You should not rely on beta features for critical tasks or time-sensitive obligations.
7Service Availability
7.1Uptime Commitment
WYLE targets a monthly uptime of 99.5% for the core platform (excluding scheduled maintenance).
- Scheduled maintenance: WYLE will provide at least 24 hours advance notice of scheduled downtime via in-app notification or email.
- Emergency maintenance: WYLE may take the Service offline without notice for urgent security or stability issues.
- Service credits: if monthly uptime falls below 99.5% due to WYLE's fault, affected subscribers may request a pro-rata credit by contacting support@wyle.ai within 14 days of the incident.
7.2Support
- Support is available via support@wyle.ai and within the WYLE app.
- WYLE targets a first response to support requests within 1 business day (UAE business days, Sunday to Thursday).
- Critical issues (complete service unavailability, data loss risk): WYLE targets acknowledgement within 4 business hours.
8User Obligations
By using WYLE, you agree to:
- Use the Service only for lawful purposes and in compliance with all applicable UAE laws and regulations.
- Not use WYLE to engage in illegal activity, harassment, fraud, or any activity that violates the rights of others.
- Not attempt to reverse-engineer, decompile, disassemble, or otherwise tamper with the WYLE application, AI models, or infrastructure.
- Not use WYLE to process personal data of third parties without their knowledge and consent.
- Not share your account credentials with third parties.
- Not attempt to circumvent, disable, or interfere with WYLE's security features.
- Comply with all third-party platform terms of service when Buddy interacts with those platforms on your behalf.
8.1Acceptable Use Policy
The following uses of the WYLE Service are expressly prohibited. Violations may result in immediate account suspension and termination without refund:
- Illegal activity: using WYLE to facilitate any activity that is illegal under UAE law or the laws of any applicable jurisdiction.
- Harmful automation: using Buddy to send spam, conduct phishing, perform denial-of-service attacks, or automate harmful interactions with third parties without their consent.
- Impersonation: instructing Buddy to impersonate another individual, company, or government entity in a deceptive manner.
- Data scraping: using WYLE to systematically extract data from third-party platforms in violation of their terms of service, at scale or for commercial resale.
- Security violations: probing, scanning, or testing the vulnerability of WYLE's systems, or attempting to gain unauthorised access to WYLE infrastructure, other users' accounts, or connected platforms.
- Interference: introducing malware, viruses, or any harmful code into the Service; overloading or disrupting WYLE's infrastructure.
- Unauthorised third-party data: uploading or processing personal data of third parties in a manner that violates UAE PDPL or applicable privacy laws.
WYLE reserves the right to determine, in its sole discretion, whether a use of the Service violates this Acceptable Use Policy.
9Intellectual Property
- WYLE and its licensors own all intellectual property rights in the Service, including the WYLE brand, Buddy AI agent, product design, software, content, and documentation.
- You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal or internal business purposes during an active subscription.
- You retain ownership of all data, content, and documents you upload to WYLE. You grant WYLE a limited licence to process your data solely for the purpose of providing the Service to you.
- Nothing in these Terms transfers any intellectual property rights to you except as expressly stated.
9.1WYLE Brand
You may not use the WYLE name, logo, or brand assets in any way that suggests endorsement, partnership, or affiliation without prior written consent from WYLE.
9.2Open Source
Certain components of the WYLE platform may incorporate open source software. Where applicable, the relevant open source licences are acknowledged within the application.
9.3Feedback
If you submit feedback, suggestions, bug reports, or ideas regarding the Service ("Feedback"), you grant WYLE a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and incorporate that Feedback into the Service or other products without any obligation to compensate you.
10Limitation of Liability
To the fullest extent permitted by UAE law, WYLE's total liability to you for any claim arising out of or relating to the Service will not exceed the total subscription fees paid by you in the 3 months immediately preceding the claim.
WYLE is not liable for:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of data, profits, revenue, or business opportunities.
- Any harm arising from your reliance on Buddy's outputs as professional advice.
- Any failure or delay caused by third-party platforms, infrastructure outages, or force majeure events.
- Any consequences of losing your 12-word recovery phrase and the resulting inability to recover your encrypted data.
- Any unauthorised access to your account resulting from your failure to maintain account security.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable UAE law.
10.1Force Majeure
WYLE will not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events outside WYLE's reasonable control, including acts of God, natural disasters, acts of government, war, terrorism, civil unrest, infrastructure failures, cyberattacks, or other malicious acts by third parties.
11Indemnification
You agree to indemnify, defend, and hold harmless WYLE, its holding company WYLE Global Corporation Incorporated (RAK ICC), its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms.
- Your violation of any applicable UAE law or regulation.
- Your use of the Service in a manner that harms a third party.
- Any data you submit that infringes the rights of a third party.
- Your violation of the Acceptable Use Policy in Section 8.1.
12Suspension and Termination
- WYLE may suspend or terminate your access to the Service immediately and without notice if you breach these Terms, engage in fraudulent activity, or if required by applicable law.
- WYLE may also suspend the Service for scheduled maintenance, emergency technical issues, or regulatory compliance requirements.
- Upon termination, your right to use the Service ceases immediately. WYLE will retain your encrypted data for 30 days to allow for recovery, after which it will be permanently deleted.
- You may terminate your account at any time by contacting support@wyle.ai or through Settings > Account > Delete Account. Termination does not entitle you to a refund of any unused subscription period except as required by UAE law.
- Where WYLE terminates your account without cause (other than for breach), WYLE will provide a pro-rata refund of any prepaid subscription fees for the unused period.
13Modifications to the Service and Terms
- WYLE reserves the right to modify, add, or remove features from the Service at any time. Where changes materially reduce functionality, we will provide at least 14 days notice.
- We may update these Terms from time to time. Material changes will be communicated via email or in-app notification with at least 14 days notice. Continued use of the Service after the effective date of revised Terms constitutes acceptance.
- A version history of these Terms is maintained and available on request at legal@wyle.ai.
14Governing Law and Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. For disputes involving WYLE's RAKEZ entity:
- The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute.
- If negotiation fails, the parties may seek mediation through a mutually agreed mediator before proceeding to litigation.
- If mediation is unsuccessful or not agreed within 15 days of the negotiation period expiring, disputes shall be referred to the courts of Ras Al Khaimah, UAE, which shall have exclusive jurisdiction, subject to applicable free zone regulations.
- Nothing prevents either party from seeking urgent injunctive or interim relief in any court of competent jurisdiction to prevent irreparable harm.
- Any legal proceedings brought against WYLE must be initiated within two (2) years of the date you first became aware of the claim or the right to bring the claim.
15Miscellaneous
15.1Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy (Section 8.1), Refund and Subscription Policy (Section 5.1), and any other policies incorporated by reference, constitute the entire agreement between you and WYLE regarding the Service and supersede all prior agreements and understandings.
15.2Assignment
You may not assign or transfer your rights or obligations under these Terms to any third party without WYLE's prior written consent. WYLE may assign its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or acquirer of all or substantially all of WYLE's business, with 30 days written notice to you.
15.3Notices
All formal legal notices under these Terms must be in writing. Notices to WYLE must be sent to legal@wyle.ai or to the registered address of WYLE Technologies FZ LLC, RAKEZ, Ras Al Khaimah, UAE. Notices to you will be sent to the email address registered to your account.
15.4Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
15.5No Waiver
WYLE's failure to enforce any provision of these Terms on any occasion will not constitute a waiver of its right to enforce that provision or any other provision on any future occasion.
15.6Language
These Terms are provided in English. In the event of any conflict with a translation, the English version shall prevail.
16Global Expansion
WYLE is currently available to users in the UAE. Before launching in any new jurisdiction, WYLE will review and comply with local consumer protection, data privacy, and SaaS subscription laws, update these Terms, and notify users with at least 30 days notice.
- EU and UK: GDPR and UK GDPR.
- United States (California): CCPA and CPRA.
- Singapore: PDPA.
- India: DPDPA 2023.
- Other markets: applicable local law will be identified and complied with before WYLE accepts users from any new jurisdiction.

The Buddy AI Agent
What Buddy Does
- Monitors your email and calendar for obligations and actionable information.

- Provides daily Morning Briefs, Evening Recaps, and proactive nudges.

- WYLE does not guarantee Buddy will detect every obligation or execute every task.
- WYLE automates interactions with third-party platforms. WYLE is not responsible for the performance or policies of those platforms.
- WYLE does not integrate with banking systems. Buddy provides reminders only.
Third-Party Platform Automation
- WYLE uses automation that interacts with third-party platforms as a user would. Platforms may update, restrict, or block automated access at any time.
- If a platform restricts access due to automation, WYLE will endeavour to restore functionality but is not liable for disruption.
- You are responsible for ensuring your use of third-party platforms via Buddy complies with those platforms' terms.
Beta Features
- Beta features are labelled within the application and provided on an "as-is" basis without warranty or SLA.
- WYLE may discontinue, modify, or graduate any beta feature without notice.
- Do not rely on beta features for critical tasks or time-sensitive obligations.
Service Availability
Uptime Commitment
WYLE targets 99.5% monthly uptime for the core platform (excluding scheduled maintenance).
- Scheduled maintenance: at least 24 hours advance notice via in-app or email.
- Emergency maintenance: may occur without notice for urgent security or stability issues.
- Service credits: if uptime falls below 99.5% due to WYLE's fault, request a pro-rata credit within 14 days at support@wyle.ai.
Support
- Support available via support@wyle.ai and in-app.
- First response within 1 business day (UAE: Sunday to Thursday).
- Critical issues: acknowledgement within 4 business hours.
User Obligations
By using WYLE, you agree to:
- Use the Service only for lawful purposes under all applicable UAE laws.
- Not engage in illegal activity, harassment, fraud, or violation of others' rights.
- Not reverse-engineer, decompile, or tamper with WYLE's application, AI models, or infrastructure.
- Not process personal data of third parties without their knowledge and consent.
- Not share your account credentials with third parties.
- Comply with all third-party platform terms of service when Buddy interacts on your behalf.
Acceptable Use Policy
The following uses are expressly prohibited and may result in immediate account suspension without refund:
- Illegal activity: money laundering, fraud, identity theft, or circumventing government regulations.
- Harmful automation: spam, phishing, denial-of-service attacks, or harmful interactions with third parties.
- Impersonation: instructing Buddy to impersonate an individual, company, or government entity deceptively.
- Data scraping: systematic extraction from third-party platforms at scale or for commercial resale.
- Security violations: probing WYLE systems, gaining unauthorised access to infrastructure or other users' accounts.
- Interference: introducing malware, viruses, or harmful code into the Service.
- Unauthorised third-party data: processing personal data of third parties without consent in violation of UAE PDPL.
Intellectual Property
- WYLE owns all intellectual property in the Service: brand, Buddy AI agent, product design, software, content, and documentation.
- You are granted a limited, non-exclusive, revocable licence to use the Service during an active subscription.
- You retain ownership of all data and documents you upload. You grant WYLE a limited licence to process your data solely to provide the Service.
WYLE Brand
You may not use the WYLE name, logo, or brand assets in any way suggesting endorsement or affiliation without prior written consent.
Open Source
Certain components may incorporate open source software. Relevant licences are acknowledged within the application.
Feedback
Feedback you submit grants WYLE a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and incorporate that Feedback into the Service without obligation to compensate you.
Limitation of Liability
To the fullest extent permitted by UAE law, WYLE's total liability to you will not exceed the total subscription fees paid by you in the 3 months immediately preceding the claim.
WYLE is not liable for: indirect, incidental, special, consequential, or punitive damages; loss of data, profits, or business opportunities; harm from reliance on Buddy's outputs as professional advice; failure caused by third-party platforms or force majeure events; consequences of losing your 12-word recovery phrase; or unauthorised account access resulting from your failure to maintain security.
Force Majeure
WYLE will not be liable for delays or failures resulting from events outside its reasonable control, including acts of God, government actions, war, terrorism, infrastructure failures, cyberattacks, or other malicious acts by third parties.
Indemnification
You agree to indemnify and hold harmless WYLE, WYLE Global Corporation Incorporated (RAK ICC), its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from:
- Your breach of these Terms.
- Your violation of any applicable UAE law.
- Your use of the Service in a manner that harms a third party.
- Any data you submit that infringes third-party rights.
- Your violation of the Acceptable Use Policy.
Suspension and Termination
- WYLE may suspend or terminate your access immediately and without notice if you breach these Terms, engage in fraudulent activity, or as required by law.
- Upon termination, your right to use the Service ceases immediately. WYLE retains your encrypted data for 30 days, then permanently deletes it.
- You may terminate at any time via support@wyle.ai or Settings > Account > Delete Account.
- Where WYLE terminates without cause, WYLE will provide a pro-rata refund of any prepaid fees for the unused period.
Modifications
- WYLE may modify, add, or remove features at any time. Material reductions in functionality will have at least 14 days notice.
- Material changes to these Terms will be communicated via email or in-app notification with at least 14 days notice. Continued use constitutes acceptance.
- A version history is available on request at legal@wyle.ai.
Governing Law and Disputes
These Terms are governed by the laws of the UAE. For disputes involving WYLE's RAKEZ entity:

Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund and Subscription Policy, constitute the entire agreement between you and WYLE regarding the Service.
Assignment

Severability
If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary or severed. The remaining provisions continue in full force.
Language
These Terms are provided in English. In the event of any conflict with a translation, the English version shall prevail.
Global Expansion
Before launching in any new jurisdiction, WYLE will review and comply with local laws, update these Terms, and notify affected users with at least 30 days notice.

Your agreement with WYLE for use of the platform and Buddy AI agent
Please read these Terms carefully before using WYLE. By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, do not use WYLE.
Parties and Agreement
These Terms constitute a legally binding agreement between you and WYLE Technologies FZ LLC (RAKEZ, UAE). WYLE Technologies FZ LLC is a wholly owned subsidiary of WYLE Global Corporation Incorporated (RAK ICC, UAE).
These Terms govern your access to and use of the WYLE platform, the Buddy AI agent, and all related applications and services accessible via wyle.ai and our mobile and desktop applications.
These Terms are governed by the laws of the UAE, including applicable RAK ICC and RAKEZ free zone regulations.
Eligibility
- You must be at least 18 years of age.
- You must have legal capacity to enter a binding contract under UAE law.
- If accessing WYLE on behalf of a company, you warrant you have authority to bind that entity.
- WYLE is currently available to users in the UAE. Access from other jurisdictions is at your own risk.
Account Registration
- You must create an account using Google, Apple, or Microsoft identity. WYLE never stores your password.
- You are responsible for maintaining account confidentiality and all activities under your account.
- Provide accurate, current, and complete information. Update it as necessary.
- Notify WYLE immediately at support@wyle.ai if you suspect unauthorised access.
- You are responsible for safeguarding your 12-word BIP39 recovery phrase. WYLE cannot recover lost data.
Trial Access
- WYLE offers a trial period with full, ungated access to all WYLE features. Trial terms are communicated at sign-up.
- Access includes: Buddy Chat, Morning and Evening Briefs, Obligation Intelligence, vendor coordination, and all AI automation features.
- At trial end, the Service becomes read-only. Buddy ceases active execution until a subscription is activated.
- Re-activation after trial expiry is immediate upon payment, restoring all data within the grace window.
Subscription and Payment
- Subscription pricing and terms are communicated during onboarding and available from the WYLE team.
- Subscriptions are billed monthly on a recurring basis from the date of first payment.
- Payments are processed by our authorised payment processor. WYLE does not store card details.
- All fees are inclusive of applicable UAE VAT where required.
- Your subscription renews automatically each month unless cancelled before the renewal date.
- Cancel at any time through your account settings or at support@wyle.ai. Cancellation takes effect at the end of the current billing period.
- WYLE may suspend subscriptions for non-payment after reasonable notice.
Refund Policy
- Trial period: no charges apply during the free trial.
- First-month satisfaction guarantee: full refund within 30 days of first payment. No questions asked. Email support@wyle.ai.
- Subsequent months: non-refundable for partial billing periods, except as required by UAE Federal Law No. 15 of 2020.
- Service outages: if WYLE is unavailable for more than 48 continuous hours in a billing period, you receive a pro-rata credit.
- Disputed charges: contact support@wyle.ai within 30 days. Response within 10 business days.
The Buddy AI Agent
What Buddy Does
- Monitors your email and calendar for obligations and actionable information.
- Tracks life obligations: government documents, insurance, financial commitments, household contracts.
- Executes tasks on your behalf (vendor coordination, bookings, WhatsApp messages), subject to your approval.
- Provides daily Morning Briefs, Evening Recaps, and proactive nudges.
- Acts as a general-purpose AI assistant for advice, planning, and information.
Limitations and Disclaimers
Buddy is an AI assistant. Buddy's outputs are informational and should not be treated as legal, financial, medical, or professional advice. Always verify critical information independently.
- Actions below the Certainty Score threshold require your explicit approval.
- Buddy may make errors. You are responsible for reviewing actions before execution.
- WYLE does not guarantee Buddy will detect every obligation or execute every task.
- WYLE automates interactions with third-party platforms. WYLE is not responsible for the performance or policies of those platforms.
- WYLE does not integrate with banking systems. Buddy provides reminders only.
Third-Party Platform Automation
- WYLE uses automation that interacts with third-party platforms as a user would. Platforms may update, restrict, or block automated access at any time.
- If a platform restricts access due to automation, WYLE will endeavour to restore functionality but is not liable for disruption.
- You are responsible for ensuring your use of third-party platforms via Buddy complies with those platforms' terms.
Beta Features
- Beta features are labelled within the application and provided on an "as-is" basis without warranty or SLA.
- WYLE may discontinue, modify, or graduate any beta feature without notice.
- Do not rely on beta features for critical tasks or time-sensitive obligations.
Service Availability
Uptime Commitment
WYLE targets 99.5% monthly uptime for the core platform (excluding scheduled maintenance).
- Scheduled maintenance: at least 24 hours advance notice via in-app or email.
- Emergency maintenance: may occur without notice for urgent security or stability issues.
- Service credits: if uptime falls below 99.5% due to WYLE's fault, request a pro-rata credit within 14 days at support@wyle.ai.
Support
- Support available via support@wyle.ai and in-app.
- First response within 1 business day (UAE: Sunday to Thursday).
- Critical issues: acknowledgement within 4 business hours.
User Obligations
By using WYLE, you agree to:
- Use the Service only for lawful purposes under all applicable UAE laws.
- Not engage in illegal activity, harassment, fraud, or violation of others' rights.
- Not reverse-engineer, decompile, or tamper with WYLE's application, AI models, or infrastructure.
- Not process personal data of third parties without their knowledge and consent.
- Not share your account credentials with third parties.
- Comply with all third-party platform terms of service when Buddy interacts on your behalf.
Acceptable Use Policy
The following uses are expressly prohibited and may result in immediate account suspension without refund:
- Illegal activity: money laundering, fraud, identity theft, or circumventing government regulations.
- Harmful automation: spam, phishing, denial-of-service attacks, or harmful interactions with third parties.
- Impersonation: instructing Buddy to impersonate an individual, company, or government entity deceptively.
- Data scraping: systematic extraction from third-party platforms at scale or for commercial resale.
- Security violations: probing WYLE systems, gaining unauthorised access to infrastructure or other users' accounts.
- Interference: introducing malware, viruses, or harmful code into the Service.
- Unauthorised third-party data: processing personal data of third parties without consent in violation of UAE PDPL.
Intellectual Property
- WYLE owns all intellectual property in the Service: brand, Buddy AI agent, product design, software, content, and documentation.
- You are granted a limited, non-exclusive, revocable licence to use the Service during an active subscription.
- You retain ownership of all data and documents you upload. You grant WYLE a limited licence to process your data solely to provide the Service.
WYLE Brand
You may not use the WYLE name, logo, or brand assets in any way suggesting endorsement or affiliation without prior written consent.
Open Source
Certain components may incorporate open source software. Relevant licences are acknowledged within the application.
Feedback
Feedback you submit grants WYLE a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and incorporate that Feedback into the Service without obligation to compensate you.
Limitation of Liability
To the fullest extent permitted by UAE law, WYLE's total liability to you will not exceed the total subscription fees paid by you in the 3 months immediately preceding the claim.
WYLE is not liable for: indirect, incidental, special, consequential, or punitive damages; loss of data, profits, or business opportunities; harm from reliance on Buddy's outputs as professional advice; failure caused by third-party platforms or force majeure events; consequences of losing your 12-word recovery phrase; or unauthorised account access resulting from your failure to maintain security.
Force Majeure
WYLE will not be liable for delays or failures resulting from events outside its reasonable control, including acts of God, government actions, war, terrorism, infrastructure failures, cyberattacks, or other malicious acts by third parties.
Indemnification
You agree to indemnify and hold harmless WYLE, WYLE Global Corporation Incorporated (RAK ICC), its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from:
- Your breach of these Terms.
- Your violation of any applicable UAE law.
- Your use of the Service in a manner that harms a third party.
- Any data you submit that infringes third-party rights.
- Your violation of the Acceptable Use Policy.
Suspension and Termination
- WYLE may suspend or terminate your access immediately and without notice if you breach these Terms, engage in fraudulent activity, or as required by law.
- Upon termination, your right to use the Service ceases immediately. WYLE retains your encrypted data for 30 days, then permanently deletes it.
- You may terminate at any time via support@wyle.ai or Settings > Account > Delete Account.
- Where WYLE terminates without cause, WYLE will provide a pro-rata refund of any prepaid fees for the unused period.
Modifications
- WYLE may modify, add, or remove features at any time. Material reductions in functionality will have at least 14 days notice.
- Material changes to these Terms will be communicated via email or in-app notification with at least 14 days notice. Continued use constitutes acceptance.
- A version history is available on request at legal@wyle.ai.
Governing Law and Disputes
These Terms are governed by the laws of the UAE. For disputes involving WYLE's RAKEZ entity:
- First: good-faith negotiation within 30 days of written notice.
- If unresolved: mediation through a mutually agreed mediator.
- If mediation fails or is not agreed within 15 days: referral to the courts of Ras Al Khaimah, UAE, which have exclusive jurisdiction.
- Legal proceedings must be initiated within two (2) years of first becoming aware of the claim.
Miscellaneous
Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund and Subscription Policy, constitute the entire agreement between you and WYLE regarding the Service.
